AgentLink Referral Agreement
This Referral Agreement (“Agreement”) is entered into between AgentLink LLC, a technology platform operating in the United Arab Emirates (“AgentLink”), and the undersigned Referrer (“Referrer”), collectively referred to as the “Parties.”
Definitions
–Lead: A prospective real estate buyer or seller introduced to AgentLink by the Referrer.
– Referrer: An individual or entity introducing a prospective buyer or seller to AgentLink.
– Referee: The referred party (buyer or seller).
– Partner Agent/Brokerage: A licensed real estate professional working with AgentLink.
– Net Commission: The final commission amount received by AgentLink from the Partner Agency after any deductions (such as government fees, taxes, or third-party costs).
– Successful Transaction: A completed property transaction facilitated by a Partner Agency as a result of a Lead provided by the Referrer.
1. Purpose
AgentLink operates a platform that connects buyers and sellers of real estate with RERA-licensed real estate agencies in the UAE. This Agreement allows Referrer to introduce potential Leads to AgentLink for potential referral to a licensed Partner Agency.
2. Nature of Relationship
Referrer acknowledges that:
- AgentLink is not a real estate brokerage and does not engage in property marketing, sales, or negotiations.
- Referrer is not acting as a broker, agent, or representative of AgentLink or any Partner Agency.
- This Agreement does not constitute an employment, agency, or joint venture relationship.
3. Referral Submission
Referrer may submit Leads via the official AgentLink referral form or platform. All Leads must be genuine, and Referrer must have obtained prior consent from the referred party to share their contact details. AgentLink reserves the right to reject any Lead at its discretion.
4. Referral Reward
If a Lead results in a Successful Transaction:
- AgentLink will pay the Referrer a marketing referral reward of up to 50% of its Net Commission.
- Payment will be made within 7 business days following receipt of commission funds from the Partner Agency.
- Payments will be made in AED via bank transfer or another method agreed in writing.
- The Referrer shall be solely responsible for reporting and paying any applicable taxes on rewards received.
- Rewards are only payable if the Referrer is the original source of the Lead.
5. Limitations and Compliance
Referrer agrees not to:
- Advertise or market properties;
- Provide property-related advice or negotiate on behalf of any party;
- Hold themselves out as a licensed real estate broker or agent in the UAE;
- Contact the Lead or the Partner Agency after referral submission without AgentLink’s prior written consent.
AgentLink reserves the right to withhold or revoke referral rewards if any non-compliance or misrepresentation is discovered.
6. Eligibility
The Referrer confirms:
– They are at least 18 years of age.
– Legally able to enter into contracts.
– Eligible to receive compensation for referrals in their jurisdiction.
7. Exclusions and Disqualifications
The following types of referrals are not eligible for referral fees:
a. Leads already known to or engaged with AgentLink or its partner agencies
b. Leads submitted without sufficient contact details or buyer/seller intent
c. Referrals of oneself or immediate family members, including but not limited to spouse, children, parents, or siblings
d. Referrals submitted with fraudulent or misleading information
AgentLink reserves the right to verify the eligibility of each referral and to reject any referral that does not comply with the terms of this Agreement.
8. Referee Conditions
To qualify for a referral fee, the Referee must:
– Not already exist in AgentLink’s CRM or referral database.
– Not have been referred within the past 6 months by another referrer.
9. Referral Process
Referrers must:
1. Create an account with accurate information.
2. Accept this agreement.
3. Fill in and submit the referral form.
4. Provide full and truthful details of the Referee.
AgentLink reserves the right to accept or reject referrals at its discretion.
10. Referral Fee Structure
Upon a Successful Transaction, the Referrer earns 50% of the Net Commission received by AgentLink. Payment is made within 7 days of AgentLink receiving the commission. If no commission is earned, no fee is due.
11. Non-Solicitation & Non-Circumvention
Referrer shall not, for a period of 6 months after submitting a Lead, directly approach or solicit AgentLink’s Partner Agencies for independent arrangements without prior written approval.
12. Confidentiality
All information relating to Referees, agents, and transactions is confidential and must not be shared without prior written consent from AgentLink. Referrer agrees to keep confidential all non-public information related to AgentLink’s business operations, Partner Agencies, and submitted Leads. This clause shall survive termination of this Agreement.
13. Term & Termination
This Agreement is valid until terminated. AgentLink may terminate immediately for breach, fraud, or misuse. This Agreement is effective upon acceptance (via digital or written signature) and shall remain in effect unless terminated by either Party with written notice. Leads submitted prior to termination shall remain eligible for rewards subject to these terms.
14. Modification of Terms
AgentLink may update this Agreement with 7 days’ written notice. Continued participation implies acceptance of new terms.
15. Dispute Resolution
First resolved by good faith negotiation. Then via mediation in Dubai, if needed. If unresolved, jurisdiction rests with the Dubai courts.
16. Governing Law
This Agreement shall be governed by the laws of the United Arab Emirates. Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts of Dubai.
17. Independent Relationship
The Referrer is not an employee, agent, or partner of AgentLink. This is an independent agreement.
18. Limitation of Liability
AgentLink’s liability is limited to the referral fee payable. No other compensation or damages will be owed.
19. Entire Agreement
This Agreement supersedes all prior discussions or understandings and constitutes the entire agreement between the Parties.
20. Electronic Acceptance
For online submissions, this Agreement shall be deemed accepted when the Referrer checks the box agreeing to the Referral Terms and submits the referral form through the AgentLink platform.
21. Referral Form Integration
This Agreement governs all referral submissions made by the Referrer via the official AgentLink Referral Submission Form, whether submitted online or in writing. Each submitted referral form shall be deemed an addendum to this Agreement and subject to the same terms and conditions. By submitting the referral form, the Referrer reaffirms their acceptance of this Agreement and confirms that the submitted information is true and accurate.
